Introduction

These Terms of Service ("Terms") govern your access to and use of the RiverX AI website, software, platform, and related products, including RiverX Leads. By accessing or using any RiverX AI service, you agree to be bound by these Terms. If you do not agree, discontinue use immediately.

1. Business Description

RiverX AI is an AI-powered platform that helps businesses automate lead engagement, lead management workflows, and appointment scheduling.

RiverX AI may include features similar to a CRM—such as storing lead information, message history, and appointment details. However, RiverX AI is not intended to function as your primary system of record, and we do not guarantee long-term data storage or archival.

You are responsible for maintaining your own backups and records in your preferred CRM or storage system.

RiverX AI sits between your lead sources and your calendar. Individual performance varies and is not guaranteed.

2. Use of Website and Services

You agree not to use RiverX AI:

• For unlawful purposes
• To send unsolicited or illegal messages
• To scrape, harvest, or overload systems
• To interfere with operations or security
• To access the platform without authorization

You are solely responsible for compliance with all messaging, data, privacy, and marketing laws.

3. Intellectual Property

All content, code, automations, algorithms, and software are owned by RiverX AI or its licensors. You may not copy, modify, distribute, or create derivative works.

4. Pricing and Currency

• All pricing is listed in USD.
• Current subscription and setup fees are always shown on the checkout page.
• Pricing may change at any time.

5. Usage Fees

Some features may incur usage-based charges, such as:

• SMS fees
• Voice minutes
• Email volume
• AI processing
• Carrier pass-through charges

Usage fees may be billed automatically. Rates may change.

By using features that incur usage fees, you agree to pay all associated costs.

6. Fulfillment Policy

• Account access credentials will be sent within 24 hours of purchase.
• If you do not receive them, contact brad@riverxai.com within 3 days.

7. Refund and Cancellation Policy

All sales are final.

No refunds for:

• Setup fees
• Monthly or annual subscriptions
• Partial months
• Unused features
• Early cancellation

Subscriptions renew automatically unless cancelled before the next billing date.

8. Promotions and Free Trials

Promotions and trial offers are subject to their own terms and may change without notice. Trial periods convert to paid subscriptions unless cancelled before expiration.

10. Security & Payments

• Payments are processed via Stripe, which is PCI-DSS compliant.
• We never store full credit card information.

11. Third-Party Links

RiverX AI may include third-party links. We are not responsible for third-party content or their actions.

12. Legal & Export Restrictions

We do not provide services in U.S.-restricted or embargoed countries.

13. Termination

RiverX AI may suspend or terminate your access immediately for:

• Terms violations
• Abuse
• Nonpayment
• Security risks

No refunds are issued upon termination.

14. Governing Law

These Terms are governed by the laws of the State of California.

15. Dispute Resolution

• All disputes will be resolved through binding arbitration under the American Arbitration Association (AAA).
• You waive the right to a jury trial or class action.

16. Compliance & User Responsibility (TCPA, CAN-SPAM, etc.)

You are fully responsible for complying with:

• TCPA
• CAN-SPAM
• Telemarketing Sales Rule
• Carrier rules (A2P 10DLC, CTIA)
• State/federal opt-in laws
• GDPR/CCPA if applicable
• Data privacy and communication regulations

You must obtain all required consent from your contacts.

RiverX AI does not provide legal advice or verify compliance.

You agree to indemnify RiverX AI for any fines, penalties, or claims arising from your communications.

17. AI Behavior Disclaimer

• AI-generated responses may be incorrect or unpredictable.
• You are responsible for reviewing automations and message content.
• RiverX AI is not liable for unintended AI outputs.

18. Service Availability & Uptime Disclaimer

RiverX AI does not guarantee:

• Continuous uptime
• Error-free operation
• Message deliverability
• Third-party system performance

Scheduled maintenance and outages may occur.

19. Data Storage & Retention

• RiverX AI may delete or purge data at any time.
• We do not guarantee long-term message retention or data permanence.
• You are responsible for exporting and backing up any data you wish to keep.

20. Disallowed Use Cases

You may not use RiverX AI for:

• Payday loans
• Debt collection
• Adult content
• Illegal substances
• Fraudulent activity
• Spam or high-risk marketing
• Discriminatory or unlawful outreach

Violations may result in immediate termination.

21. Limitation of Liability

RiverX AI's total liability for any claim is limited to the amount paid in the last 30 days.

We are not liable for:

• Lost profits
• Missed opportunities
• Data loss
• Service outages
• Predictive errors
• Indirect or consequential damages

22. Warranty Disclaimer

RiverX AI is provided "AS IS" and "AS AVAILABLE" with no warranties of any kind.

23. Indemnification

You agree to indemnify and hold harmless RiverX AI for claims arising from your:

• Messaging
• Use of the platform
• Data usage
• Violations of these Terms
• Business activities

24. Modification of Terms

• RiverX AI may update these Terms at any time.
• Continued use constitutes acceptance.

25. Entire Agreement

These Terms constitute the full agreement between you and RiverX AI.

26. Resale, Sublicensing & White-Label Restrictions

Unless you have written authorization, you may NOT:

• Resell RiverX AI
• Sublicense access
• Rebrand the software
• Create sub-accounts
• Offer RiverX AI as a service
• Redistribute data
• Provide third-party access
• Bundle RiverX AI into your service

Unauthorized resale is a material breach and may result in immediate termination without refund.
